1. Acceptance
These Terms of Service govern your access to and use of Abracadabrax, an AI image and video generation workspace operated by Abracadabrax Studio. By creating an account, clicking Generate, purchasing credits, starting a subscription, or otherwise using the service, you agree to these Terms.
If you use Abracadabrax on behalf of a company or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.
2. Eligibility
You must be at least 18 years old to use Abracadabrax. You may not use the service if you are barred from doing so under applicable law, sanctions rules, export controls, or the rules of any upstream model provider.
3. Account
You are responsible for your account credentials, all activity under your account, and the accuracy of the information you provide. You must notify us promptly at legal@abracadabrax.ai if you believe your account has been compromised.
Abracadabrax may refuse registration, suspend accounts, or require additional verification when needed for security, payment integrity, legal compliance, or abuse prevention.
4. Acceptable use
You may not use Abracadabrax to create, upload, request, distribute, or facilitate content or activity that is unlawful, harmful, abusive, or designed to evade safety systems.
- Illegal content or activity, including fraud, scams, unlawful surveillance, or instructions for criminal wrongdoing.
- Child sexual abuse material, sexual content involving minors, grooming, or exploitation of children.
- Non-consensual intimate imagery, sexual deepfakes, or content used to harass, extort, shame, or impersonate a person.
- Content that infringes or misappropriates intellectual property, privacy, publicity, or other rights.
- Malware, phishing, credential theft, spam, bot activity, or attempts to compromise systems.
- Requests to generate deceptive political persuasion, voter suppression, or content that misleads people about civic processes.
- Threats, harassment, hate, targeted abuse, or content promoting violence or self-harm.
- Attempts to bypass Abracadabrax, fal.ai, or upstream model provider safety policies, rate limits, filters, payment controls, or access restrictions.
- Reverse engineering, scraping, bulk account creation, resale, or automated use not expressly authorized by Abracadabrax.
We may remove content, block jobs, suspend accounts, report unlawful material, or preserve records when we reasonably believe these Terms or applicable law have been violated.
5. License to use the service
Subject to these Terms, Abracadabrax grants you a limited, revocable, non-exclusive, non-transferable license to access and use the service for personal or commercial creative work. This license does not include the right to copy the platform, interfere with its operation, resell access, or use the service to build a competing model-routing platform without permission.
6. User-generated content
"User content" means prompts, reference inputs, generation settings, uploaded materials, generated outputs, and related metadata submitted to or created through Abracadabrax.
As between you and Abracadabrax, you retain rights you have in your prompts and outputs. You are responsible for ensuring that your inputs and use of outputs comply with law, these Terms, and any rights of third parties.
You own your outputs to the extent permitted by applicable law and subject to the commercial, usage, attribution, and content restrictions of the underlying model provider. Abracadabrax routes generation through fal.ai and upstream model providers, so fal.ai's terms and the terms of providers such as OpenAI, Google, ByteDance, Black Forest Labs, xAI, Kling, Luma, and others may apply to prompts, outputs, and commercial use.
You grant Abracadabrax a limited, worldwide, non-exclusive license to host, copy, transmit, process, display, and store user content solely to operate, secure, support, debug, and improve the service, process billing and credits, enforce these Terms, and comply with law.
7. Credits and billing
Abracadabrax uses credits to meter generation costs. A generation may consume credits immediately when a job starts, even if the output is later deleted from your workspace. Different models, modes, sizes, durations, and providers may consume different credit amounts.
- Subscriptions renew monthly unless canceled before renewal.
- Monthly credits reset each billing period and do not roll over unless a plan page expressly says otherwise.
- Top-ups, if offered, may have separate expiration, usage, and refund terms shown at purchase.
- Stripe processes payment when configured. By paying through Stripe, you also agree to Stripe's applicable terms, available at Stripe Services Agreement.
- You are responsible for taxes, chargebacks, payment failures, and keeping your billing method current.
8. NO REFUNDS
All purchases are final. Abracadabrax is a digital product. We do not provide refunds for subscriptions, credits, top-ups, generated outputs, unused time, unused credits, or dissatisfaction with generation results.
Credits are consumed when generation work begins because Abracadabrax incurs upstream model and infrastructure costs. Generated media quality depends on prompts, settings, model behavior, provider availability, and safety systems, and a subjective result does not create a refund right.
For EU consumers, distance contracts may include a statutory 14-day withdrawal right. However, under Directive 2011/83/EU Article 16(m), that right may be lost for digital content not supplied on a tangible medium when performance begins after the consumer's prior express consent and acknowledgement that the withdrawal right is lost. By clicking Generate, starting a paid generation, or consuming credits after purchase, you expressly consent to immediate digital performance and acknowledge that you waive the 14-day withdrawal right for that digital content.
This no-refund policy does not limit mandatory consumer rights that cannot be waived by law, nor does it prevent Abracadabrax from correcting a clear billing error at its discretion.
9. Subscription cancellation
You may cancel your subscription at any time through the billing portal when Stripe billing is configured. Cancellation stops future renewals. Your paid access continues until the end of the current billing period. We do not provide prorated refunds or money-back refunds for the remaining period.
10. Service availability
Abracadabrax is provided on a best-effort basis and does not include a service-level agreement unless a separate written contract says so. We may modify, suspend, limit, or discontinue features, models, providers, pricing, credits, queues, or output formats at any time.
Upstream providers may rate limit, fail, reject, moderate, delay, or change model behavior without notice. Abracadabrax is not responsible for delays, interruptions, missing outputs, policy refusals, or provider changes outside our control.
11. Third-party services and their terms
Abracadabrax depends on third-party services, including fal.ai for inference routing, upstream model providers, Railway for hosting and Postgres, Stripe for billing, ip-api.com for best-effort geolocation, and Resend for planned transactional email.
Model providers may include OpenAI, Google, ByteDance, Black Forest Labs, xAI, Kling, Luma, and others. Their terms, usage policies, safety policies, and commercial rights rules may apply to your prompts, inputs, outputs, and downstream use. You are responsible for reviewing and complying with those provider terms where applicable.
12. Intellectual property
Abracadabrax, the product design, branding, website, software, model-routing interface, credit system, and documentation are owned by Abracadabrax Studio or its licensors. You may not copy, modify, distribute, reverse engineer, or create derivative works of the platform except as permitted by law or a written agreement.
Nothing in these Terms transfers Abracadabrax's intellectual property to you. Nothing in these Terms transfers your lawful rights in your user content to Abracadabrax except the limited operating license described above.
13. Disclaimers
Abracadabrax is provided "as is" and "as available." To the maximum extent permitted by law, Abracadabrax Studio disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and output quality.
AI outputs may be inaccurate, incomplete, offensive, unsafe, infringing, or unsuitable for your intended use. You are responsible for reviewing outputs before publication or commercial use.
14. Limitation of liability
To the maximum extent permitted by law, Abracadabrax Studio and its personnel, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, reputational harm, business interruption, or substitute services.
To the maximum extent permitted by law, Abracadabrax Studio's total liability for any claim relating to the service will not exceed the amount you paid to Abracadabrax for the service in the three months before the event giving rise to the claim, or EUR 100, whichever is greater.
15. Indemnification
You will defend, indemnify, and hold harmless Abracadabrax Studio and its personnel, affiliates, licensors, and service providers from claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from your user content, your use of outputs, your breach of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.
16. Termination
You may stop using Abracadabrax at any time. Abracadabrax may suspend or terminate access, remove content, or disable features if we reasonably believe you violated these Terms, created legal or security risk, failed to pay, abused credits or chargebacks, or used the service in a way that could harm Abracadabrax, users, providers, or the public.
Sections that by their nature should survive termination will survive, including acceptable use, user content licenses needed for prior operation, billing, no refunds, intellectual property, disclaimers, liability limits, indemnification, governing law, and dispute terms.
17. Governing law and dispute resolution
These Terms are governed by the laws of Italy, excluding conflict-of-law rules, unless the final Abracadabrax legal entity selects a different jurisdiction before launch.
Courts located in [insert city and court jurisdiction] will have exclusive jurisdiction, except where mandatory consumer protection rules give you the right to bring claims in your country of residence or otherwise preserve non-waivable rights. EU consumer mandatory protections are preserved.
18. Changes
We may update these Terms when the product, pricing, processors, laws, or business terms change. The "Last updated" date shows when the current version took effect. Continued use after changes means you accept the updated Terms, except where law requires separate consent.
